Why are we offering again an employee share ownership plan?
At OVHcloud, employee share ownership is a Group priority. OVHcloud gives its employees the chance to invest in the company every year using only their global incentive plan, thus limiting their personal investment.
OVHcloud is continuing to grow and including its employees in this growth.
Where do the shares offered to employees come from?
The shares are acquired by OVHcloud on the stock exchange at the price determined on January 15, 2025.
How do I find out if I am eligible?
All employees who receive a global incentive plan paid in respect of FY24 results, i.e. employees in continuous or discontinuous employment by the group for more than three months as at August 31, 2024, provided that they are still employed as at January 1, 2025, are eligible.
How do I inform you of my global incentive plan allocation choice?
A site will be opened specifically for allocating your global incentive plan between 10:00 CET on November 25, 2024 and 23:59 CET on December 9, 2024. It will be accessible via the ESP website ("Subscription" button) or directly at ors.amundi-ee.com/c/cp/OVHCLOUD2024.
This site will show the amount of your incentive bonus and enable you to make your allocation choice.
On November 25, 2024, you will receive an email from Amundi ESR providing your confidential codes for accessing this site.
What taxes and social security charges am I liable for when my global incentive plan is paid?
Please refer to the tax notice for your country describing the tax treatment applicable at the time of payout for the global incentive plan and employer contribution, over the course of their investment and at the time of sale of your shares.
When will I find out how many shares I have been allocated following my investment?
The shares will be allocated on January 15, 2025, and be shown in your personal space on the Uptevia website at the end of January 2025.
Is the investment guaranteed?
Your investment in OVHcloud shares listed on Euronext Paris carries a risk of capital loss and currency risk.
It will therefore follow the OVHcloud share price, whether upwards or downwards. You are thus exposed to the risk of capital loss.
The employer contribution offered the context of this offer nonetheless helps limit the impact of any downward change in the share price.
Since OVHcloud shares are listed in euros, your shares will thus also vary depending on the exchange rate if you are outside the euro zone: if your currency appreciates against the euro, the impact is positive for your assets; if it depreciates against the euro, the impact is negative.
Are any dividends paid taxable?
The dividends are paid directly to your bank account. Please refer to the tax notice describing the tax treatment applicable at the time of the dividend payout.
As from what date can I obtain the sums arising from this investment?
The locked-in amounts will be available on January 15, 2030, as provided for in the PEGI rules, except in the event of early release.
When will my global incentive plan be paid into my account if I choose to take it in cash?
The transfer will be made with your salary for January 2025.
