To understand the operation

At OVHcloud, employee share ownership is a Group priority. OVHcloud gives its employees the chance to invest in the company every year using only their global incentive plan, thus limiting their personal investment.

OVHcloud is continuing to grow and including its employees in this growth.

The OVHcloud Shares FCPE receives your payment into the PEGI (the global incentive plan amount) and buys the OVHcloud shares on the market.

All employees who receive a global incentive plan paid in respect of FY24 results, i.e. employees in continuous or discontinuous employment by the group for more than three months as at 31 August 2024, provided that they are still employed as at 1 January 2025, are eligible.

A site will be opened specifically for allocating your global incentive plan between 10:00 CET on 25 November and 23:59 CET on 9 December 2024. It will be accessible via the ESP website ("Subscription" button) or directly at ors.amundi-ee.com/c/cp/OVHCLOUD2024.

This site will show the amount of your global incentive plan and enable you to make your allocation choice.

On 25 November 2024, you will receive an email from Amundi ESR providing your confidential codes for accessing this site.

Please refer to the tax notice for your country describing the regime applicable when your global incentive plan and employer contribution are paid, during the time of your investment in the OVHcloud Shares FCPE and when you exit the fund.

The units will be allocated on 15 January 2025. They will appear in your personal space on the Amundi ESR site at the end of January 2025.

The OVHcloud Shares FCPE will be invested almost exclusively in OVHcloud Shares listed on Euronext Paris, and is not covered by any guarantee. The value of the FCPE’s units will follow the OVHcloud Share price upwards or downwards: if the share price falls, the value of the unit will fall accordingly. There is therefore a risk of capital loss. The employer contribution associated with this offer nevertheless limits the impact of any fall in the share price.

The OVHcloud Share being listed in euros, your assets will therefore also vary according to the exchange rate if you are outside the euro zone: if your currency appreciates against the euro, the impact is positive for your assets, if it depreciates against the euro, the impact is negative.

Dividends are reinvested directly in the OVHcloud Shares FCPE. They entitle you to new units in the FCPE and thus contribute to your assets’ growth. Please refer to the tax notice describing the regime applicable when dividends are distributed.

The locked-in amounts will be available on 15 January 2030, as provided for in the PEGI rules, except in the event of early release.

The transfer will be made with your salary for January 2025.
