Investing in the OVHcloud Shares FCPE

How much can I invest?

There is no minimum investment. 
The maximum amount you can invest is your whole global incentive plan plus the employer contribution.

Can I invest just a part of my global incentive plan in the OVHcloud Shares FCPE?

You can choose between:

  • investing all or part of your global incentive plan in the OVHcloud Shares FCPE; and
  • having all or part of it paid into your bank account.

What are the risks?

Investing in the OVHcloud Shares FCPE exposes you to a risk of capital loss and exchange risk.

The FCPE will be invested almost exclusively in OVHcloud shares listed on Euronext Paris and is not covered by any guarantee. The value of the FCPE’s units will follow the OVHcloud share price upwards or downwards: if the share price falls, the value of the unit will fall accordingly. As a result, you are exposed to a risk of capital loss.

During the term of your investment, the value of your investment will also vary with any fluctuations in the exchange rate between the euro and your currency. If the euro appreciates against your currency, the value of the shares stated in your currency will increase. Conversely, if the euro depreciates against your currency, the value of the shares stated in your currency will decrease.

On the “investor-relations” page of OVHcloud’s website you can find the company’s universal registration document and other financial reports containing important information about its activity, its strategy and the risks associated with investing in OVHcloud shares.

The employer contribution associated with this offer nevertheless limits the impact of a fall in the share price.

As this FCPE’s portfolio risks relate exclusively to the securities of a single company, we recommend that you assess whether you need to diversify the risks on your savings as a whole.

Your assets

If you choose to invest in OVHcloud shares, once the transaction is complete you will hold units in the OVHcloud Shares FCPE, which in turn will hold the related OVHcloud shares.

The OVHcloud share is listed on Euronext Paris.

As the OVHcloud Shares FCPE is invested almost entirely in OVHcloud shares, the value of your assets will depend on that of the OVHcloud share. The daily value of the FCPE’s unit will follow the share’s opening price. 

As long as you hold units in this FCPE, you will receive any dividends decided upon by the company’s General Meeting of Shareholders. These dividends will be automatically reinvested in the FCPE free of charge and will increase your number of units.

Reminder: your assets are locked in for five years from the date your global incentive plan is paid into the PEGI, i.e. 15 January 2030 (except in the event of early release, described here).

What happens at the end of the five-year lock-in period?

Your assets become available at the end of this period. You can then choose to either:

  • keep your assets in the FCPE for as long as you wish; or
  • ask for your units to be redeemed in full or in part.
