How do I use the amounts received in the global incentive plan?
In January 2025, you will receive an amount for the 2024 global incentive plan.
You will be informed of this amount in euros online on 25 November 2024.
You can use this sum in one of two ways, or a combination of both:
INVEST ALL OR PART OF THE SUM IN THE OVHCLOUD SHARES FCPE
to acquire OVHcloud shares
You will be subject to income tax and social charges on these amounts in accordance with local standards. Please refer to the tax notice for your country for more details.
HAVE ALL OR A PART OF YOUR GLOBAL INCENTIVE PLAN
paid into your bank account

You have until 23:59 CET on 9 December 2024 to make your choice and allocate your global incentive plan.
Failing that, the global incentive plan will be paid to you in full with your salary for January 2025, after deduction of social security contributions and income tax if required by local regulations. You will receive no employer contribution.
CAUTION:
- You are only entitled to an employer contribution if you invest in the OVHcloud Shares FCPE.
- You will choose between investing your global incentive plan in the OVHcloud Shares FCPE and having it paid out on the Amundi ESR website, which will go live on 25 November 2024.
- Depending on the regulations applicable in your country, the global incentive plan and the employer contribution may be subject to social charges and taxes despite being invested in the OVHcloud Shares FCPE. If this is the case, the corresponding amount will be deducted from your salary in January 2025. For more information please see the tax notice for your country.
- If you elected to invest a part but not all of your Global Incentive in ESP 2024, or if you do not participate in ESP 2024, the corresponding amount of your Global Incentive will be paid to you in January 2025 with the salary payment. For this payment, your Global Incentive will be converted in your local currency (Pound Sterling) at the exchange rate published by the European Central Bank on 6 January 2025.
Investing in the OVHcloud Shares FCPE: how does the employer contribution work?
OVHcloud supports your investment in the employee shareholding fund by supplementing the global incentive plan that you choose to invest, and resulting in issuance of additional FCPE units to you:

There is no employer contribution for the portion of sums invested in the OVHcloud Shares FCPE over €2,000.
Employer contribution example:
I receive a €2,600 global incentive plan.
I decide to invest the full amount in the OVHcloud Shares FCPE. My employer contribution will be:
100% of €500 = €500
75% of € 300 = €375
50% of €1,000 = €500
Total investment: €2,600 global incentive plan + €1,375 employer contribution = €3,975
Any tax and social security charges due on the global incentive plan and the employer contribution in your country will be deducted from your salary for January 2025. For more information please see the tax notice for your country.
How many shares can you buy?
Investing all or part of your global incentive plan enables you to buy units in the FCPE invested in OVHcloud shares.
The FCPE’s units will be subscribed at their net asset value on 15 January 2025. The FCPE’s net asset value will be close to the market price of the OVHcloud share on that same date. The shares will be valued at the opening market price.
You will not know that price when you choose to invest all or part of your global incentive plan.
The number of OVHcloud Shares FCPE units that will be allocated to you will be known once the transaction is complete, based on the sums invested, the employer contribution and the net asset value of the OVHcloud Shares FCPE as at 15 January 2025.
